These Terms of Service ("Terms") govern your access to and use of the Accordo website, applications, and related services (collectively, the "Services") provided by Accordo Corporation, a Delaware corporation headquartered in Orlando, Florida ("we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

1. Overview of the Services

Accordo provides a cloud-based software platform for event sponsorship management, contract generation, invoicing, and fulfillment tracking. The Services are intended for professional and organizational use.

2. Eligibility

You may use the Services only if you are at least 18 years old and legally capable of entering into binding contracts. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

You agree to notify us immediately of any unauthorized use or suspected security breach. Accordo Corporation is not liable for any loss or damage resulting from your failure to protect your account credentials.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Upload or transmit malicious code, spam, or content that violates intellectual property or privacy rights.
• Attempt to gain unauthorized access to any system, data, or network connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

5. Payments and Billing

Certain features of the Services may require payment. By providing payment information, you authorize us (and our payment processor, Stripe) to charge applicable fees according to your selected plan or contract.

All fees are non-refundable unless otherwise required by law or specified in writing. You are responsible for any taxes associated with your use of the Services.

7. Intellectual Property

Accordo Corporation and its licensors retain all rights, title, and interest in the Services, including software, designs, logos, and trademarks. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services unless expressly permitted in writing.

All content you upload remains yours, but by submitting it to Accordo Corporation, you grant us a limited license to host, use, and display that content solely for the purpose of providing and improving the Services.

8. Confidentiality

Each party agrees to protect confidential information disclosed by the other party and to use it only as necessary to perform under these Terms. "Confidential Information" includes nonpublic business, financial, and technical data.

9. Disclaimers

The Services are provided "as is" and "as available." We make no warranties or representations, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted or error-free operation of the Services.

10. Limitation of Liability

To the fullest extent permitted by law:

• Accordo Corporation shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business.
• Our total liability for any claim related to the Services will not exceed the amount you paid (if any) in the 12 months preceding the claim.

These limitations apply even if we were advised of the possibility of such damages.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or if required by law.

Upon termination, certain provisions (including Sections 7–10) will continue to apply.

12. Changes to These Terms

We may modify these Terms from time to time. The updated version will be posted on our website with a new "Last Updated" date. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any disputes arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in Orlando, Florida, and you consent to the jurisdiction of those courts.
